Three Key Roles of Singapore Company

Company Director
1. A director must be a natural person aged 18 or above.
2. A company may have one or more directors, with at least one local‑resident director. Eligible candidates include Singapore citizens, PR holders, EntrePass holders and Self‑Employed Pass holders.
3. Directors are responsible for the overall corporate management.
4. SP and WP pass holders are disqualified from acting as company directors.
5. EP and DP pass holders may take directorships subject to relevant conditions.
Company Shareholder
1. There are no restrictions on shareholder profiles. Both individuals and corporate entities can hold shares.
2. No statutory cap applies to shareholding percentages for foreign individuals or overseas entities.
3. An individual shareholder may concurrently hold the position of company director.
4. SP and WP pass holders cannot be company shareholders.
5. EP and DP pass holders are permitted to hold shares upon meeting qualifying criteria.
Company Secretary
1. Every Singapore‑registered company must appoint a local resident (Singapore citizen, PR or valid work‑pass holder) as its company secretary.
2. Where a company has only one director, that sole director shall not act as the company secretary simultaneously.
