Guide to Using Company Seals in Singapore
2024-04-17

In Singapore, upon completing company registration, one typically receives a company seal. This seal serves as a symbol of a company's credibility and is used for both internal and external dealings. As a nation known for its robust commercial laws and good business credit, Singapore also has its unique styles of company seals.

01 Singapore Company Seals

Also known as "company chops" or rubber stamps, company seals are generally circular or rectangular stamps with diameters of 24mm or 26mm. Many Singaporean companies frequently use seals to authorize certain documents.

1) Usage Scenarios for Company Seals

Company seals are essential for all Singaporean companies and are frequently used in daily operations and business activities. They are required for tasks such as signing business contracts or agreements, government documents, utility bills, or telephone bills. Occasionally, courier companies may also require the official company seal for verification purposes when sending or receiving certain special shipments.

Other scenarios where company seals might be required include:

 Applying for funding
 Applying for permits
 Signing purchase orders
 Lease agreements
 Business contracts
 Official invoices
 Financial reports
 Bills of exchange
 Promissory notes

Additionally, according to Section 144(1A) of the Singapore Companies Act, the company's registration number must appear clearly and legibly on all business letters, statements of account, invoices, official notices, and publications issued or signed by the company.

2) Shapes of Company Seals

Company seals in Singapore come in circular and rectangular shapes. Circular seals typically bear only the company's registered name and registration number, while rectangular seals may include additional information such as the company's address, telephone, fax, trademark, postal code, and other relevant details.

3) Legal Validity of Company Seals

However, whether circular or rectangular, company seals do not have legal validity. Circular seals signify the company's approval of certain facts or acknowledgment of actions taken by the company. Rectangular seals are merely a form of signature.

02 Singapore Company Steel Stamps

1) Legal Validity of Company Steel Stamps

Company steel stamps, also known as company seals, are the official seals of a company, similar to China's "official seal" or Hong Kong's "corporate seal," and they carry legal validity. Currently, it is no longer mandatory for companies in Singapore to use steel stamps.

2) Usage Scenarios for Company Steel Stamps

According to Section 41B of the Singapore Companies Act, Singaporean companies are not required to use company seals on documents executed in deed form or other documents such as share certificates. These documents can be executed by:

A. Representation by directors and the company secretary
B. Representation by two company directors
C. Representation by a director in the presence of a witness

In summary, in the daily operations of Singaporean companies, the two most commonly used seals are company steel stamps and company seals. The use of company steel stamps can be chosen based on the company's actual situation, and if not needed, corresponding modifications can be made in the company's articles. Meanwhile, company seals are essential for all Singaporean companies and are the most frequently used in daily operations.
